Practice
Brian practices in the area of corporate/commercial law. His practice includes the structuring and establishment of new businesses, the reorganization of existing businesses, and advising businesses in connection with all legal aspects of their business operations. He has extensive experience drafting and negotiating various types of operating agreements such as customer and supplier agreements, employment and consulting agreements, distribution agreements, franchise agreements, leases and licenses. He also prepares and negotiates shareholders’ agreements and advises on shareholders’ disputes.
A large part of Brian’s practice is transaction based. His specialty is in advising with respect to private company mergers and acquisitions. He also has experience in secured financing transactions and in acting for businesses raising capital through different types of private placements.
Brian’s clients include businesses of all sizes in a myriad of industries including service, hospitality, retail, manufacturing, distribution and software development.
